1. Business Relationship and Ownership

1.1 Business Partner Role. Jim is recognized as Business Partner - Operations of Millionaire Productions. This is a legitimate business-facing and operational role. It does not create ownership, equity, voting rights, or independent control of Millionaire Productions.

1.2 Ownership. Mia is the owner and founder of Millionaire Productions and retains ownership and ultimate control of the company. Jim is not an owner, co-owner, founder, co-founder, shareholder, member, or equity holder. No compensation percentage creates ownership. Any future ownership interest would require a separate written ownership agreement expressly approved by Mia.

1.3 Titles. Jim's present title is Business Partner - Operations. Owner, Founder, and President are not Jim's titles. Any future title change must be expressly approved by Mia in writing. A title does not create ownership.

1.4 Final Authority. Mia retains final authority over company ownership, strategy, pricing, contracts, spending, hiring, compensation, branding, intellectual property, technical scope, product commitments, and material obligations unless she expressly delegates a specific authority in writing.

2. Jim's Operations Responsibilities

Jim's compensation is tied to his actual contribution. His role requires him to personally perform the Operations responsibilities assigned to him. His position is not a meeting-only, supervisory-only, networking-only, office-only, or delegation-only position.

• Maintain timely and professional communication with assigned clients.
• Personally obtain requested photos, facility information, event information, schedules, staff information, client content, and approvals.
• Attend required client meetings and field visits.
• Promptly communicate client information, decisions, requests, delays, and deadlines to Mia.
• Follow up without Mia repeatedly having to remind or chase him.
• Assist with approved physical production, preparation, labeling, setup, delivery, installation, and deployment work.
• Handle routine Operations responsibilities so they do not repeatedly fall back onto Mia while she performs technical and production work.
• Maintain sufficient familiarity with Millionaire Productions products to accurately explain their purpose without inventing features, technical capabilities, pricing, or promises.
• Maintain client relationships and Operations work for recurring accounts while receiving recurring compensation from those accounts.

3. Hiring, Delegation and Client Commitments

3.1 No Hiring Authority. Jim does not have independent authority to hire, recruit, retain, fire, engage, or promise compensation to employees, contractors, photographers, analysts, vendors, or subcontractors for Millionaire Productions. Jim may identify a need for additional help. Mia decides whether anyone is added, who is selected, their responsibilities, and compensation.

3.2 Jim Cannot Delegate Away His Job. Jim may not transfer his core responsibilities to other people so that his own role becomes primarily attending meetings, networking, sitting in an office, supervising, or directing others while other people perform the work assigned to him. If Mia approves outside help for a legitimate business need, that approval does not automatically remove Jim's existing responsibilities.

3.3 Client Commitments. Jim may identify customer needs, ask discovery questions, discuss approved products, and maintain relationships. Jim may not independently commit Millionaire Productions to pricing, discounts, free additions, technical scope, integrations, project timelines, delivery dates, intellectual-property terms, or custom development.

3.4 No Scope Creep for Compensation. Jim will not expand or encourage unnecessary project scope for the purpose of increasing his compensation. Client requests outside approved scope are referred to Mia for technical and business evaluation.

4. MASH / All American Compensation

4.1 Base Compensation. Jim's base compensation for eligible MASH / All American project revenue actually collected by Millionaire Productions is twenty percent (20%). This is subject to Jim materially performing his assigned responsibilities.

4.2 Performance Compensation. Jim may earn up to thirty percent (30%) when he consistently and personally performs the full Operations role at a high level throughout the applicable project or compensation period. The percentage above 20% is performance-based. It is not automatically earned because Jim participated in a sale or because the customer signed an agreement.

4.3 Thirty Percent Current Maximum. Under the present division of responsibilities, 30% is the maximum percentage available. Mia currently independently performs the company's digital design, software development, technical systems work, database work, integrations, implementation, troubleshooting, and digital delivery. While Mia remains responsible for that technical and production workload, compensation above 30% is not owed.

4.4 Possible Future Change. Mia may choose, at her sole business discretion, to consider increased compensation in the future if Jim develops substantial new professional capabilities and independently removes a meaningful amount of skilled production work from Mia. Such a change is not automatic. It requires Mia to affirmatively approve the change in writing.

4.5 What Does Not Automatically Increase Compensation. More meetings, a larger title, additional company revenue, more clients, longer tenure, delegating tasks, supervising other people, or repeatedly requesting a higher percentage does not automatically increase Jim's percentage.

4.6 Performance Requirements. Full performance compensation requires Jim to personally and consistently perform the responsibilities of his Operations role. Shifting Jim's assigned execution work to other people does not constitute full performance.

4.7 Failure to Perform. If Jim materially or repeatedly fails to perform his assigned responsibilities, delegates them without approval, becomes unavailable without reasonable communication, causes Operations work to repeatedly fall back onto Mia, or makes unauthorized commitments, the performance amount above 20% is not earned for the affected phase or compensation period.

4.8 Percentage Calculation. Unless otherwise stated in a written project agreement, percentage compensation is calculated on eligible project and service revenue actually received and retained by Millionaire Productions, excluding sales tax, refunds, chargebacks, returned payments, and third-party or direct physical/material costs the client is merely reimbursing.

4.9 Recurring Revenue. Recurring compensation requires recurring responsibility. If Jim receives a percentage from quarterly, annual, maintenance, care-plan, or other recurring client revenue, he must continue performing his Operations role for that account. Future recurring compensation does not continue indefinitely if Jim stops performing that role.

5. Final Terms and Future Changes

5.1 Agreement Can Evolve Only by Written Change. Millionaire Productions may grow and Jim's responsibilities may change. Mia may choose to propose or approve changes to Jim's responsibilities, title, authority, or compensation if she determines his actual contribution justifies a change. No change is automatic.

5.2 Written Amendment. Any material future change must be expressly approved in writing by Mia. Casual conversations, assumptions, client comments, repeated requests, or verbal statements do not modify this Agreement.

5.3 Compensation, Ownership and Title Are Closed. The terms stated in this Agreement represent Mia's final current position regarding Jim's compensation structure, maximum percentage, ownership status, and title. After Jim has been provided this Agreement and has had the opportunity to read it, Mia will not continue negotiating, debating, or repeatedly discussing these matters. These topics remain closed unless Mia herself elects to initiate a future written change.

5.4 Refusal to Sign. Jim is free to accept or decline this Agreement. Declining the Agreement does not create a different compensation offer, different ownership status, different title, or an obligation for Mia to continue negotiating. If Jim does not accept the working arrangement offered by Millionaire Productions, Mia may choose not to assign future projects or continue the working relationship.

5.5 Continued Attempts to Reopen Settled Terms. Continued attempts to argue, pressure, or repeatedly reopen compensation, ownership, or title after these terms have been presented may be treated as an indication that the working relationship is no longer workable. Mia may discontinue future work with Jim or end the working relationship, subject to compensation already earned and obligations required by applicable law.

6. Intellectual Property and Confidentiality

6.1 Company Property. Millionaire Productions software, source code, databases, systems, designs, branding, documents, proposals, pricing methods, client materials, product concepts, credentials, domains, accounts, and other company intellectual property remain the property of Millionaire Productions and/or Mia as applicable. Jim's title or percentage does not create ownership.

6.2 Confidentiality. Jim will maintain the confidentiality of nonpublic company and client information, including credentials, client lists, pricing, proposals, unreleased products, internal processes, customer data, technical discoveries, project plans, and business strategy.

7. General Terms

7.1 Business Partner Does Not Mean Owner. The phrase Business Partner describes Jim's working relationship with Millionaire Productions. It does not create an equity partnership, ownership interest, voting interest, or unrestricted legal authority.

7.2 Governing Law. This Agreement will be interpreted under the laws of the State of Ohio to the extent permitted by applicable law.

7.3 Severability. If a provision is determined unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.
